Delaware Franchise Tax and Annual Reports are due by March 1, 2012

Have a Corporation registered in the State of Delaware?

Maintain compliance with the Delaware Code! The Delaware Division of Corporations requires that Annual Reports be filed electronically and that your franchise tax be paid when filing. Unless a certificate of dissolution or merger was filed with the State by the end of calendar year 2011, your Corporation is required to file the Annual Franchise Tax Report and pay the Franchise Tax by the annual March 1st deadline.

Don’t delay!

Failure to file a fully completed report can result in some steep penalties. Make sure to include the names and addresses of officers and directors, and remit the proper payment on or before MARCH 1, 2012 or risk a $125.00 penalty and/or interest charges being assessed by the State of Delaware at the rate of 1.5% per month. Additionally, non-compliance will prevent the company from obtaining a certificate of good standing and will ultimately result in the State revoking your charter. Be sure you efile your taxes on time and you won’t have anything to worry about.

Notification of Annual Report and Franchise Tax due are sent to all Delaware Registered Agents in December of each year.
